Our civil litigation attorneys have substantial experience and expertise representing clients in all state and federal courts at both the trial and appellate level.  Our litigation practice includes insurance defense, governmental and municipal liability, commercial disputes, lender liability, defense of employment discrimination and wrongful termination matters both for insurance clients and individual business clients, real estate, construction defects, environmental and water disputes, and professional negligence.

Our attorneys are also experienced in handling alternatives to litigation, where appropriate, including arbitration, mediation and other creative settlement techniques in order to provide efficient resolution of disputes.

Corporate and Business Law

Our services range from formation, merger, reorganization, and the dissolution of corporations, partnerships, limited liability companies (LLC's), limited liability partnerships (LLP's), sole-proprietorships, and other forms of business entities.  Ongoing representation and advice is provided for our business clients' operational needs in areas such as: contracts, compliance with regulatory agencies, and collections.  Our attorneys also advise and represent financial and lending institutions.

Employment / Labor Law

The firm's attorneys advise and represent employers with respect to the laws and regulations governing the workplace.  Our services encompass hiring and affirmative action issues, immigration law requirements for employers, wage and labor laws, rights of the disabled in the workplace, employee handbooks, personnel manuals, employment contracts, employee discipline and termination.  Employer clients are also counseled in areas such as record keeping and reporting requirements, employee benefits, and workplace safety.

Estate Planning and Probate

Advice is provided to clients regarding the practical and tax consequences of various plans of disposition of one's property on death.  This includes planning for the manner in which title to property is to be held, for the disposition of one's property on death, and planning for the disposition of life insurance and retirement benefits.  The firm drafts wills, trust agreements, and all other documents relating to estate planning.  Clients also use our services in connection with guardianship and conservatorship proceedings for minors and incapacitated adults.  In the probate of estates, assistance is provided to the heirs of the decedent in the process of administering the estate and distribution of assets; and representation is provided for interested persons in contested proceedings.

Real Estate, Water, and Environmental Law

We provide assistance in the negotiation and preparation of contracts for the purchase, sale, or lease of real property.  We provide legal assistance in matters involving easements, rights of way, boundary lines, hazardous materials, water rights, mechanics' liens, commercial and residential landlord/tenant matters, construction defects, foreclosures, receiverships, water law, and environmental law.

The firm also provides expertise in assisting in the development of commercial and residential properties, including representation before governmental agencies, and preparation of common interest subdivision management documents (CC&R's, Articles, By-laws of homeowners associations).

Government and Municipal Law

Representation is available for both the public and private sectors in this field.  The firm acts as special counsel for local governmental entities, and is general counsel for several community service districts, water companies, and other quasi-governmental entities.  Legal services are provided for businesses and individuals in matters such as: condemnation cases, contract negotiations with public agencies, and zoning and use permit matters.

Taxation and Securities Law

The firm represents taxpayers before the United States Tax Court, the Internal Revenue Service, the Franchise Tax Board and the California State Board of Equalization.  Further, the firm does sophisticated income tax planning, structuring of transactions to minimize the impact of federal, state and local taxes and is frequently called upon to render opinions concerning the Federal, State and Local tax effects of proposed and completed transactions.

Also, advice and assistance is provided to clients seeking to avoid or minimize the impact of Federal and State securities laws, and clients are advised on the ramifications of proposed financing activities.
